1. Agreement to Terms

By accessing or using the services provided by Calzada Company ("Calzada," "we," "us," or "our"), including but not limited to our website, web design services, automation solutions, and SEO services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.

These Terms constitute a legally binding agreement between you ("Client," "you," or "your") and Calzada Company. By engaging our services, you represent that you have the authority to enter into this agreement on behalf of yourself or your organization.

2. Description of Services

Calzada Company provides professional web design, intelligent automation, and strategic SEO services. Our services include, but are not limited to:

  • Custom website design and development
  • Business automation solutions (lead management, email automation, CRM integration)
  • Search engine optimization (SEO) services
  • Third-party tool integration (Zapier, Make.com, HubSpot, Gmail, QuickBooks, Calendly, Stripe, and others)
  • Website hosting and maintenance services
  • SSL certificate provision
  • Daily backup services
  • Security monitoring and malware scanning
  • Performance optimization

Specific services, deliverables, timelines, and pricing will be detailed in individual service agreements, proposals, or statements of work ("SOW") that may be executed separately from these Terms.

3. Service Agreements and Proposals

Each project or service engagement may be governed by a separate written agreement, proposal, or SOW that specifies the scope of work, deliverables, timelines, pricing, and payment terms. In the event of any conflict between these Terms and a specific service agreement, the service agreement shall govern with respect to that specific engagement.

All proposals and estimates are valid for 30 days from the date of issuance, unless otherwise specified. Calzada reserves the right to modify or withdraw any proposal or estimate at any time before acceptance.

4. Pricing and Payment Terms

4.1 Pricing Structure: Our services are offered on a project basis with one-time build fees starting at $799, and optional monthly maintenance plans ranging from $119 to $299 per month. Annual payment options may be available with discounts as specified in your service agreement.

4.2 Payment Terms: Unless otherwise specified in your service agreement:

  • For one-time projects, a deposit (typically 50%) is required to commence work, with the remaining balance due upon completion or as specified in your agreement.
  • Monthly maintenance fees are billed in advance on a monthly or annual basis.
  • All payments are due within 15 days of invoice date, unless otherwise agreed in writing.

4.3 Late Payments: Invoices not paid within the specified payment terms are considered overdue. Calzada reserves the right to:

  • Charge a late fee of 1.5% per month (18% annually) on overdue amounts
  • Suspend or terminate services until payment is received
  • Require payment in advance for future services
  • Pursue collection through legal means

4.4 Refunds: Due to the custom nature of our services, refunds are generally not available once work has commenced. However, if Calzada is unable to deliver services as specified in the service agreement due to our own failure, we will work with you to resolve the issue or provide a prorated refund for undelivered services.

4.5 Price Changes: Calzada reserves the right to modify pricing for new services or renewals. Existing service agreements will be honored at the agreed-upon pricing for the duration of the agreement term.

5. Client Responsibilities

To ensure successful project completion, you agree to:

  • Provide accurate, complete, and timely information, content, materials, and feedback necessary for project completion
  • Respond to requests for information, approvals, or feedback within reasonable timeframes (typically 3-5 business days)
  • Ensure you have the legal right to use and provide any content, images, logos, or other materials you supply
  • Obtain all necessary licenses, permissions, and approvals for content you provide
  • Designate a primary point of contact for project communications
  • Provide access to necessary accounts, systems, or platforms when required for service delivery
  • Comply with all applicable laws and regulations in your use of our services

Delays in providing required information, content, or approvals may result in project timeline extensions. Calzada is not responsible for delays caused by your failure to meet these responsibilities.

6. Intellectual Property Rights

6.1 Client Content: You retain all ownership rights to content, materials, data, and information you provide to Calzada ("Client Content"). By providing Client Content, you grant Calzada a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing services to you.

6.2 Calzada Work Product: Upon full payment of all fees, you will receive ownership of the custom work product created specifically for you (the "Deliverables"), subject to the following:

  • Calzada retains ownership of all pre-existing tools, methodologies, frameworks, code libraries, templates, and intellectual property used in creating the Deliverables
  • Calzada may use anonymized, aggregated data and general learnings from your project for improving our services
  • Calzada may showcase your project in our portfolio, case studies, or marketing materials unless you request otherwise in writing

6.3 Third-Party Components: Deliverables may include third-party software, plugins, or components that are subject to their own license terms. You are responsible for complying with all third-party license terms.

6.4 Source Code: Unless otherwise specified in your service agreement, source code and development files will be provided upon project completion and full payment. Calzada is not obligated to maintain or update source code after project completion unless covered by a maintenance agreement.

7. Third-Party Services and Integrations

Our services may integrate with or rely on third-party services, platforms, or tools (collectively, "Third-Party Services"), including but not limited to Zapier, Make.com, HubSpot, Gmail, QuickBooks, Calendly, Stripe, and other applications. Your use of Third-Party Services is subject to their respective terms of service and privacy policies.

Calzada is not responsible for:

  • The availability, performance, or functionality of Third-Party Services
  • Changes to Third-Party Services that may affect integrations
  • Data breaches or security incidents involving Third-Party Services
  • Compliance with Third-Party Service terms and policies

You are responsible for maintaining valid accounts and licenses for all Third-Party Services used in connection with our services. Calzada may assist with integration setup but cannot guarantee ongoing compatibility with Third-Party Services.

8. Hosting and Maintenance Services

8.1 Hosting: When hosting services are included in your plan, Calzada will provide hosting infrastructure, SSL certificates, and basic server management. Hosting services are provided on a best-effort basis, and Calzada does not guarantee 100% uptime, though we strive for high availability.

8.2 Backups: Daily backups are included in maintenance plans. While we make every effort to maintain reliable backups, you are encouraged to maintain your own backup copies of critical data and content.

8.3 Maintenance: Maintenance services include security updates, performance optimization, and technical support as specified in your maintenance plan. Maintenance does not include major redesigns, new features, or content updates unless specifically included in your plan.

8.4 Service Suspension: Calzada reserves the right to suspend hosting or maintenance services for non-payment, violation of these Terms, or security concerns. We will provide reasonable notice when possible, except in cases of security threats or illegal activity.

9. Warranties and Disclaimers

9.1 Service Warranty: Calzada warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. If you discover a material defect in our work within 30 days of delivery, we will correct it at no additional charge, provided the defect is not caused by your modifications, third-party services, or factors outside our control.

9.2 Disclaimer of Warranties: EXCEPT AS EXPRESSLY SET FORTH IN THESE TERMS, CALZADA PROVIDES SERVICES "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED SERVICE.

Calzada does not warrant that:

  • Services will meet all of your requirements
  • Services will be uninterrupted, timely, secure, or error-free
  • Results obtained from services will be accurate or reliable
  • Any errors or defects will be corrected
  • SEO services will result in specific rankings, traffic, or business outcomes

9.3 SEO Results: SEO results depend on numerous factors beyond our control, including search engine algorithm changes, competition, industry trends, and your business practices. Calzada does not guarantee specific rankings, traffic levels, or business results from SEO services.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CALZADA'S TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO CALZADA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

IN NO EVENT SHALL CALZADA BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, business opportunities, or goodwill
  • Damages resulting from third-party services, your actions, or factors outside our reasonable control
  • Costs of procuring substitute services

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such cases, Calzada's liability will be limited to the fullest extent permitted by applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Calzada, its officers, directors, employees, contractors, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of our services
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property rights
  • Content, materials, or information you provide to Calzada
  • Your violation of any applicable laws or regulations

12. Confidentiality

Both parties agree to maintain the confidentiality of proprietary and confidential information disclosed during the course of providing or receiving services. Confidential information includes, but is not limited to, business plans, financial information, customer data, technical information, and trade secrets.

This obligation does not apply to information that:

  • Is publicly available or becomes publicly available through no breach of these Terms
  • Was known to the receiving party before disclosure
  • Is independently developed by the receiving party
  • Must be disclosed by law or court order

Confidentiality obligations survive termination of these Terms.

13. Term and Termination

13.1 Term: These Terms remain in effect while you use our services or have an active service agreement with Calzada.

13.2 Termination by You: You may terminate services at any time by providing written notice. Termination of ongoing projects may be subject to cancellation fees as specified in your service agreement. Monthly maintenance plans may be cancelled with 30 days' written notice.

13.3 Termination by Calzada: Calzada may terminate or suspend services immediately if:

  • You breach these Terms or your service agreement
  • You fail to make payments when due
  • You engage in illegal activity or use services for illegal purposes
  • You engage in conduct that threatens the security or integrity of our services or systems

13.4 Effect of Termination: Upon termination:

  • Your right to use services immediately ceases
  • All outstanding fees become immediately due
  • Calzada may delete or suspend access to your data and accounts
  • Sections of these Terms that by their nature should survive will survive

14. Data Protection and Privacy

Calzada takes data protection seriously. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the collection and use of information as described in our Privacy Policy.

You are responsible for ensuring that any data you provide to Calzada, including customer data, employee data, or other personal information, is collected and provided in compliance with applicable data protection laws, including GDPR, CCPA, and other relevant regulations.

15. Prohibited Uses

You agree not to use our services to:

  • Violate any applicable laws, regulations, or third-party rights
  • Transmit or store malicious code, viruses, or harmful software
  • Engage in spam, phishing, or other fraudulent activities
  • Interfere with or disrupt our services or systems
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Use services in a manner that could damage, disable, or impair our services
  • Collect or harvest information about other users without consent
  • Impersonate any person or entity or misrepresent your affiliation

16. Force Majeure

Calzada shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, internet or telecommunications failures, government actions, or pandemics.

17. Dispute Resolution

17.1 Informal Resolution: Before initiating any formal dispute resolution, both parties agree to attempt to resolve disputes through good faith negotiation. Please contact us at alexander@calzada.co to discuss any concerns.

17.2 Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of South Carolina, United States, without regard to its conflict of law principles.

17.3 Jurisdiction: Any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the state or federal courts located in Columbia, South Carolina, and both parties consent to the personal jurisdiction of such courts.

17.4 Class Action Waiver: You agree that any disputes will be resolved on an individual basis and waive any right to participate in class actions, collective actions, or representative proceedings.

18. General Provisions

18.1 Entire Agreement: These Terms, together with any service agreements or SOWs, constitute the entire agreement between you and Calzada regarding the subject matter herein and supersede all prior agreements and understandings.

18.2 Modifications: Calzada reserves the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on our website. Your continued use of services after changes become effective constitutes acceptance of the modified Terms.

18.3 Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18.4 Waiver: The failure of either party to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

18.5 Assignment: You may not assign or transfer these Terms or your rights hereunder without Calzada's prior written consent. Calzada may assign these Terms in connection with a merger, acquisition, or sale of assets.

18.6 Independent Contractors: The relationship between you and Calzada is that of independent contractors. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.

18.7 Notices: Notices under these Terms may be sent via email to the addresses provided by each party or via certified mail to the business addresses on file.
